General Terms & Conditions (B2B Draft)

1. Scope

These terms are intended for transactions with entrepreneurs, legal entities under public law and special funds under public law. Consumer sales require additional mandatory information and consumer-law processes.

2. Quotations

Unless expressly stated otherwise, quotations are non-binding and subject to availability, supplier confirmation, compliance review and final order acceptance.

3. Product Specifications

The specification agreed in the quotation, order confirmation or batch documentation controls. Website descriptions are general commercial information unless expressly incorporated into the contract.

4. Prices

Prices are stated in the quotation or checkout and may exclude VAT, duties, freight, insurance and other charges unless expressly included.

5. Delivery

Delivery dates and Incoterms are stated in the order confirmation. Delays caused by supply disruption, regulatory controls, force majeure or events outside reasonable control are handled according to applicable law and contract.

6. Inspection & Claims

Commercial buyers should inspect goods promptly and notify Gallium Global of identifiable discrepancies without undue delay, subject to mandatory law and the agreed contract.

7. Documentation

CoA, SDS and other documents are provided where applicable. Batch-specific documents prevail over generic website data.

8. Compliance

Orders may be declined, suspended or cancelled where required for sanctions, export controls, end-use restrictions, dangerous-goods requirements or other legal obligations.

9. Governing Terms

Applicable law, jurisdiction, liability, retention of title and payment terms must be finalized with German counsel before publication.
